Based on the desire of both parties to establish a limited liability company in accordance with the law, the following was agreed upon: Article 1: Company Name and Headquarters

Company Name: K.S.V.C - K.S.V.C Company Headquarters: Iraq - Basra - Faw Port. It has branches and partnerships in Arab, European, and American countries, and offices in Thailand and the Philippines.

Article 2: Company Purpose

The company engages in the following activities, such as general contracting, major construction projects, development, and investment in infrastructure projects, oil and gas, blockchain technologies, and cryptocurrency trading.

Implementing major projects inside and outside Iraq, including the Faw Port Project (valued at $25 billion).

Article (3): Capital

The authorized capital is $500,000,000.

Divided into a number of equal shares, with partners' shares determined in accordance with internal agreements.

Article (4): The company's term is indefinite and begins from the date of its official registration.

Raad Taqi is the Chairman of the Board of Directors and has the authority to represent the company before official bodies and sign strategic contracts. Saleh Al-Muraibet is the Executive Director and oversees daily operations and coordinates with local and international partners.

Article (6): Partners

The company works with 43 joint-stock companies from various Arab, European, and American countries within strategic alliances and has a broad client base in Asia and Africa.

Article (7): Financial Distributions

Profits and losses are distributed according to the percentage of capital contribution.

The company is subject to the International Accounting Standards and their annual accounts are audited.

Article (8): Projects Current

Faw Port - Iraq

The company is leading a massive project worth $25 billion in cooperation with international companies to develop the port and its infrastructure.

Article (9): General Provisions

The company is committed to all relevant local and international laws. This contract may be amended by a decision of the Board of Directors and with official approval.
